FAQ
What's the difference between 13G and 13D?
Both are SEC filings triggered when an investor crosses the 5% holding threshold in a US-listed equity. 13G is the "passive" form — the investor declares no intent to influence company governance (typical for index funds, large mutual funds). 13D is the "activist" form — the investor may seek board seats, governance changes, or strategic shifts. Both filings disclose share count, percentage of class, and the filing date.
How current is the data?
13F-HR positions are made public by the SEC within 45 days after each quarter-end; we synchronize our database daily at 03:00 UTC. 13G/13D filings must be submitted to the SEC within 5–10 days of crossing the 5% threshold; our daily sync typically picks them up the same evening or the next morning.
Why sort by filing date instead of period?
Filing date is when the information becomes public — that's the moment a reader can act on it. The period (the quarter-end the position relates to) can be weeks to months earlier. Sorting by filing date matches the "what's new" experience a reader expects. The time-window filter (30d / 90d / etc.) also operates on filing date.
